Vista Acquires D+H, Merges with Misys to Form Finastra

Vista Equity Partners acquired Canadian payments and lending technology provider D+H (formerly Davis and Henderson, founded 1875) for $25.50 per share in cash by plan of arrangement, a total enterprise value of approximately $4.8 billion including assumed debt, announced in February 2017. Vista then merged D+H with its existing UK-based portfolio company Misys (acquired by Vista in 2012), creating Finastra, which launched on June 14, 2017 as the third-largest financial services technology company in the world with approximately 10,000 employees and 9,000 customers across 130 countries. Finastra was initially led by former Misys CEO Nadeem Syed.
